Hude-Süd Primary School Support Association

§ 1 Name, registered office, legal status and financial year

The association is named "Förderverein Grundschule Hude-Süd e.V." (Association for the Promotion of Hude-Süd Primary School). Its registered office is in Hude (Oldenburg). It pursues exclusively and directly charitable purposes within the meaning of the section "Tax-privileged purposes" of the German Fiscal Code.

The purpose of the association is to promote curricular and extracurricular activities at the school.

The purpose of the statutes is:

  1. The organization, support and co-organization of school events.
  2. the support of working groups as well as the support of school committees and parent initiatives.
  3. the procurement of additional teaching, learning and demonstration materials as well as the purchase of equipment.
  4. Furthermore, all activities that benefit the students.

The association's fiscal year begins on July 1st and ends on June 30th of the following year.

§ 2 Activities of the association/non-profit status

The association operates on a non-profit basis; it does not primarily pursue commercial purposes.

§ 3 Membership

  1. Members of the association „Förderverein Grundschule Hude-Süd eV“ can become:

    • natural persons
    • legal entities,

    who are willing to support the purposes stated in Section 1 of these statutes.

  2. The written application for membership must be addressed to the board, which makes the decision regarding admission.
  3. Membership terminates upon death, expulsion, or resignation.
  4. A member may declare their withdrawal from the sponsoring association by submitting a written notice of termination by March 31st, effective at the end of the financial year.
    No contributions will be refunded.
  5. If a member is in arrears with the payment of more than one year's membership fee, they may be removed from the membership list.
  6. The board can exclude a member from membership if duties arising from the statutes have been grossly violated or if actions have been taken against the interests of the association.

§ 4 Contributions

By joining, the member commits to paying the membership fee, which is determined by the general meeting.

The means to achieve the association's purpose will also be obtained through donations and the acquisition of third-party funds.

§ 5 Use of funds

  1. The association's funds may only be used for the purposes stipulated in its statutes. Members do not receive any payments from the association's funds.
  2. No person may be favored by expenditures that are unrelated to the purpose of the association or by disproportionate remuneration.

§ 6 Organs

The organs of the “Förderverein Grundschule Hude-Süd eV” are:

  1. The general meeting
  2. The board.

§ 7 General Meeting

  1. The general meeting is convened by the board of directors and should take place at least once a year.
    The board of directors determines the location of the members' meeting.
    Members must be invited at least 14 days in advance, with the agenda being announced.
    The invitation will be sent in written form (e.g., email, letter, fax).
  2. At the request of one quarter of the members, the board must convene a general meeting without delay.,
    within 14 days at the latest.
  3. The general meeting is always able to make decisions if it has been convened in accordance with the statutes.
    It makes its decisions by simple majority.
  4. The chairperson of the board of directors leads the general meeting.
  5. A three-quarters majority of the members present is required to amend the statutes or dissolve the association.
  6. Resolutions of the general meeting are recorded in a minutes document by the secretary.
    The minutes must be signed by the secretary and a chairperson.

§ 8 Tasks of the General Meeting

The tasks of the general meeting are in particular:

  1. The election of the board of directors (§ 10).
  2. The election of the secretary.
  3. To set the membership fees.
  4. To receive the annual report of the board.
  5. To approve the annual accounts.
  6. To grant discharge to the board of directors.
  7. To elect two auditors for a one-year term (re-election is possible).
  8. To adopt amendments to the statutes.
  9. To decide on the dissolution of the club.

§ 9 Voting rights

All members present at the general meeting are entitled to vote.

Proxy voting for individual members is not permitted.

§ 10 Board of Directors

  1. The board consists of

    • the/the 1st Chairman
    • the 2nd Chairman
    • the treasurer
    • to the secretary

    The managing board within the meaning of § 26 BGB consists of the 1st chairperson and the 2nd chairperson.
    He represents the association in and out of court and is authorized to make legally binding declarations and sign documents.
    Each of them is authorized to represent the association alone.

  2. The board is elected for a two-year term and remains in office until its successors are elected. Re-election is possible.
    If none of the candidates achieved a majority of the votes cast in the first round of voting,
    A runoff election will be held between the two people who received the most votes.
    The person who receives the most votes is then elected.
  3. If a board member resigns before the end of their term of office, a subsequently elected member remains in office only for the remainder of the term.
  4. The members of the board perform their duties on a voluntary basis.

§ 11 Cash audit

  1. Each financial year, the financial documents are handed over to a tax advisor for review, unless two auditors have been appointed by the general meeting for the respective financial year and the procedure according to paragraphs 2 and 3 applies.
    The club will bear the costs.
  2. If two auditors are elected, the club's accounts and financial statements will be audited by these auditors at least once a year.
  3. The auditors must not be members of the board or employees of the association.
  4. At the general meeting following the financial year, they report on the proper management of the accounts and, if the accounts are found to be in order, recommend that the general meeting grant discharge to the board of directors.

§ 12 Duties of the Board of Directors

  1. The board of directors implements the resolutions of the general meeting, conducts day-to-day business, prepares the budget and arranges for the factual and arithmetical review of the annual financial statements.
  2. The board of directors can appoint a managing director.
  3. Decisions must be certified by the secretary and the chairperson.

§ 13 Dissolution of the association

If the association is dissolved or if tax-privileged purposes cease to exist, the association’s assets shall be divided equally between:

  1. Hude Citizens' Foundation
  2. Children's Eyes Hude eV

§ 14 Entry into force

The statutes come into force on the day of registration in the register of associations.
